1. Scope
These terms apply to every quotation, agreement and delivery between ADS BV (VAT BE0478.563.257, registered as —) and the customer. By accepting a quotation or placing an order, the customer accepts these terms, regardless of any conflicting terms of the customer.
2. Quotations and requests
Our quotations are valid for 30 days unless stated otherwise. Prices are in euro, excluding 6 % or 21 % VAT (depending on the applicable regime), and based on the information provided by the customer. Changes to scope or unexpected on-site conditions (hidden piping, inaccessible spaces, parts requiring replacement) may lead to additional work, always agreed in advance.
3. Execution
We perform work according to good craftsmanship and applicable technical standards (Cerga, NBN). Execution dates are indicative: delays due to force majeure, weather, suppliers or third parties do not give rise to compensation. The customer ensures free access to the work area, connection to water/electricity and a safe working environment.
4. Payment
Our invoices are payable within 30 days of the invoice date unless otherwise agreed. Late payment automatically and without notice incurs default interest of 8 % per year and a fixed indemnity of 10 % with a minimum of €50. In case of persistent non-payment we may suspend execution and any collection costs are at the customer's expense.
5. Warranty
We provide warranty on work performed as legally required (2-year conformity guarantee on new installations, 10-year decennial liability for structural work). Manufacturer warranty applies to materials and devices. Damage from incorrect use, lack of maintenance or third-party intervention is excluded from warranty.
6. Liability
Our liability is limited to direct damages and in any event to the invoice amount of the relevant order. We are not liable for indirect or consequential damages (loss of profit, loss of comfort, replacement lodging costs). A professional liability insurance covers our activity.
7. Disputes and applicable law
These terms are governed exclusively by Belgian law. Disputes will first be attempted to be resolved amicably. Failing agreement, the courts of the district where ADS BV's registered office is located shall have jurisdiction.
